Fabgen provides digital marketing services (including search engine optimization, paid advertising, website development, and reputation services), an AI voice receptionist service marketed as Sophia, and related growth services. The specific services, deliverables, fees, and timelines for any engagement are defined in a separate written order, proposal, or statement of work ("Order"). In the event of a conflict between an Order and these terms, the Order controls for that engagement.
You must be at least 18 years old and authorized to enter into a binding agreement on behalf of your business to use our services. You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.
Fees are set out in your Order and are due on the schedule stated there. Unless an Order says otherwise, fees are non-refundable except as expressly provided by an applicable written guarantee. Prepaid plans, setup fees, and any usage-based charges are billed as described in the Order. Late or failed payments may result in suspension of services.
Any performance or money-back guarantee applies only as described in the relevant Order or published guarantee policy and is subject to the conditions stated there, which may include minimum activity levels, timely follow-up on delivered leads, maintaining active call forwarding, and providing access needed to verify results. Statistics and projections shown on our website are illustrative and are not a guarantee of results.
To deliver our services you agree to provide accurate information, timely approvals, and any access we reasonably need (for example to advertising accounts, your CRM, or call routing). You are responsible for the accuracy and legality of materials you provide and for compliance with laws applicable to your business and its communications with customers.
Sophia uses automated voice technology to answer, qualify, and book calls on your behalf based on configuration you approve. You are responsible for ensuring your use of automated call handling, call recording, and customer outreach complies with applicable laws in the jurisdictions where you operate, including consent and disclosure requirements. We will work with you on reasonable configuration, but you remain the controller of your customer communications.
Fabgen retains all rights to its platforms, software, methods, and pre-existing materials. Subject to full payment, you receive a license to use the deliverables created specifically for you for your business purposes. You retain ownership of your brand assets and the customer data you provide.
Our services may rely on or integrate with third-party platforms (for example Google, Meta, and CRM or scheduling providers). Your use of those platforms is governed by their own terms, and we are not responsible for their availability, performance, or changes.
Each party agrees to protect the other's non-public business information disclosed in connection with an engagement and to use it only to perform under the engagement.
Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that they will produce any specific business result.
To the fullest extent permitted by law, Fabgen will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim arising out of or relating to the services will not exceed the amount you paid to Fabgen for the services in the three months preceding the event giving rise to the claim.
You agree to indemnify and hold Fabgen harmless from claims arising out of your business, the materials or instructions you provide, or your use of the services in violation of these terms or applicable law.
These terms apply while you use our website or services. Engagement-specific term and cancellation rights are set out in your Order. We may suspend or terminate access for non-payment or for breach of these terms.
These terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute not subject to arbitration agreed in an Order.
We may update these terms from time to time. The "last updated" date reflects the current version, and continued use of our services after changes take effect constitutes acceptance.
